Terms of Service

Welcome to Sona. These Terms of Service ("Terms") govern your access to and use of the Sona website and any related online services, forms, features, content, or resources that we currently make available (collectively, the "Services"). Sona Audios LLC is a Delaware limited liability company ("Sona," "we," "us," or "our").

Sona is currently developing an immersive audio platform. Certain products, features, creator tools, membership options, monetization opportunities, and other services described on our website may be planned, under development, or made available in the future and are not necessarily available at this time.

By accessing or using the Services, submitting an application or audition, or otherwise interacting with the Services, you agree to be bound by these Terms and any policies incorporated into these Terms by reference, including our Community Guidelines & Acceptable Use Policy and Privacy Policy.

If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility and Age Requirements

You must be at least 18 years old and have reached the age of majority in your jurisdiction to submit a creator application or audition, create an account where account functionality is available, or otherwise participate in age-restricted Sona services.

By using age-restricted Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.

Sona is developing a platform that may include adult-oriented and sexually explicit content intended exclusively for adults. You are responsible for ensuring that accessing or participating in any Sona service or content available to you is lawful in your jurisdiction.

You may not misrepresent your age, identity, or eligibility or circumvent any age-verification or access-control measures implemented by Sona.

2. Sona's Current Services and Pre-Launch Status

Sona is currently in development. Our website provides information about Sona, our vision for the future platform, creator opportunities, community initiatives, and other aspects of the company.

At this stage, the Services may also allow individuals to:

  • learn about Sona and our planned platform;

  • apply or audition for creator opportunities;

  • submit portfolios, samples, and other application materials;

  • contact Sona;

  • sign up to receive news, launch updates, creator news, and announcements; and

  • access other resources or features that we may make available.

 

The future Sona platform is intended to provide immersive audio experiences and opportunities for creators and audiences to discover, create, connect, and engage.

Features described on the website may not yet be available and may change as development progresses.

3. Future Services and Features

Information on the Sona website regarding planned features, creator tools, monetization opportunities, content offerings, memberships, community features, launch timing, or other aspects of the future Sona platform reflects our current plans and vision.

Because Sona is still in development, these plans may evolve.

We do not guarantee that any particular feature, functionality, monetization method, creator opportunity, content offering, launch date, or other planned service described on the website will become available or remain available.

We may add, modify, postpone, restrict, or discontinue planned or existing features as development progresses, subject to applicable law.

4. Creator Applications and Auditions

Sona may invite voice actors, scriptwriters, audio engineers, visual artists, and other creators to submit applications, auditions, portfolios, samples, or other materials for consideration.

Applicants must be at least 18 years old and meet any additional eligibility requirements stated in the applicable application or audition.

Submitting an application or audition does not guarantee selection, employment, engagement, compensation, placement on the future Sona platform, or any other business relationship with Sona.

Sona may consider factors including creative quality, performance, experience, technical quality, style, professionalism, availability, suitability for particular projects, and alignment with the needs of the developing platform when evaluating applications.

Sona is not obligated to select any applicant or provide individualized feedback regarding an application or audition.

5. Ownership of Application and Audition Materials

Unless otherwise expressly agreed in writing, you retain ownership of the original materials you submit as part of your application or audition and any intellectual property rights you hold in those materials.

By submitting an application, audition, portfolio, sample, or other material, you grant Sona permission to access, store, review, internally share, reproduce as reasonably necessary for review, and evaluate those materials for purposes related to your application and potential opportunities with Sona.

This permission does not transfer ownership of your creative work to Sona.

You represent and warrant that you own the materials you submit or have all rights, licenses, permissions, releases, and authorizations necessary to submit them for consideration.

If Sona wishes to commission, license, distribute, publish, promote, monetize, or otherwise use your creative work beyond evaluating your application or audition, the applicable rights, compensation, permissions, and other terms will be addressed through a separate written agreement where appropriate.

6. Creator Relationships and Future Agreements

Selection as a creator or participation in a Sona project may be subject to a separate Creator Agreement, independent contractor agreement, content license, project agreement, release, or other written terms.

Those agreements may address matters including compensation, content ownership and licensing, distribution rights, promotional permissions, exclusivity or non-exclusivity, confidentiality, project requirements, deadlines, content standards, monetization, and termination.

Unless expressly stated in a separate written agreement, nothing on the Sona website or in these Terms creates an employment relationship, partnership, joint venture, agency relationship, or guarantee of future work between Sona and an applicant or creator.

7. Future Creator Monetization

Sona intends to explore opportunities for eligible creators to earn from their work through features that may include paid content, subscriptions, tips, commissions, custom content, revenue-sharing arrangements, or other monetization tools.

These features are planned and may not currently be available.

Specific monetization opportunities, eligibility requirements, revenue shares, Platform fees, payout schedules, minimum payout thresholds, payment-processing fees, refunds, chargebacks, taxes, and other financial terms will be disclosed through applicable Creator Agreements, monetization terms, or other terms before a creator participates in the applicable program.

Nothing on the website constitutes a guarantee of earnings, audience growth, revenue, or financial success.

8. SFW and Adult/NSFW Content

Sona intends to welcome creators working in a range of audio storytelling genres, including creators who produce exclusively SFW content, exclusively adult or NSFW content where permitted, or a combination of both.

Creators are not required to produce adult or NSFW content merely because Sona may make such content available.

Any adult or NSFW content offered through future Sona services will be subject to these Terms, our Community Guidelines & Acceptable Use Policy, applicable content-labeling requirements, applicable law, and any additional adult-content policies adopted by Sona.

For sexual or NSFW content, all depicted or referenced characters participating in sexual activity must be 18 years of age or older, and all sexual activity must be consensual.

Content involving the sexualization or exploitation of minors, incest, bestiality, sexual violence, non-consensual sexual activity, sexual exploitation, human trafficking, or other prohibited sexual content identified in our Community Guidelines is not permitted, whether real or fictional.

Sona may establish additional restrictions as necessary to comply with applicable law, payment-provider requirements, hosting requirements, app marketplace requirements, or other platform obligations.

9. Acceptable Use and Community Standards

Your use of Sona must comply with our Community Guidelines & Acceptable Use Policy, which is incorporated into these Terms by reference.

You may not use the Services to engage in unlawful, abusive, fraudulent, deceptive, harmful, or disruptive activity.

Prohibited conduct may include harassment, stalking, threats, coordinated attacks, hate speech, doxxing, privacy violations, impersonation, scams, intellectual property infringement, malicious activity, manipulation of reporting systems, or other conduct that threatens the safety, rights, or integrity of Sona, its creators, applicants, community, or others.

Sona may investigate reported violations and take reasonable action consistent with these Terms, our Community Guidelines, and applicable law.

10. Intellectual Property Rights

Except for materials submitted by users, applicants, creators, and third parties, the Sona website, Services, branding, logos, trademarks, graphics, text, designs, interfaces, technology, and other proprietary materials are owned by or licensed to Sona and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, Sona grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for their intended purposes.

You may not copy, reproduce, modify, distribute, sell, license, reverse-engineer, create derivative works from, or otherwise exploit Sona's proprietary materials except as expressly authorized by Sona or permitted by applicable law.

Nothing in these Terms grants you ownership of Sona's intellectual property.

11. Copyright and Intellectual Property Complaints

Sona respects intellectual property rights.

If you believe materials available through the Services infringe your copyright or other intellectual property rights, you may contact us at hello@sonaaudios.com with sufficient information for us to understand and evaluate your concern.

Sona may remove or restrict access to allegedly infringing materials where appropriate.

As the Platform develops, Sona may establish additional procedures for copyright notices and counter-notices through a separate Copyright or DMCA Policy.

12. Communications and Email Updates

You may have the option to provide your email address to receive Sona news, updates, announcements, creator information, launch information, or other communications.

Where required by applicable law, we will obtain appropriate consent before sending marketing communications.

You may unsubscribe from marketing emails using the unsubscribe mechanism included in those communications or by contacting us.

Certain non-marketing communications relating to an application, audition, agreement, transaction, security matter, or other relationship with Sona may still be sent when necessary or permitted by law.

Our collection and use of personal information is governed by our Privacy Policy.

13. Third-Party Services and Links

The Services may contain links to, integrate with, or rely on third-party websites, forms, hosting providers, social media platforms, payment providers, technologies, or other services.

Sona does not control third-party services and is not responsible for their content, availability, security, privacy practices, or terms.

Your use of third-party services may be subject to separate terms and privacy policies provided by those third parties.

14. Reporting and Enforcement

Users, creators, applicants, or other individuals may report suspected violations of these Terms or our Community Guidelines using any reporting methods Sona makes available or by contacting hello@sonaaudios.com.

Submitting a report does not establish that a violation occurred.

Sona may consider available information, evidence, context, communications, and other relevant circumstances when reviewing a report.

Knowingly submitting false or malicious reports, manipulating evidence, coordinating abusive reporting, or using reporting processes to harass, intimidate, or retaliate against another person may itself violate these Terms and our Community Guidelines.

 

Sona may restrict access to the Services, remove content, discontinue communications, reject or discontinue an application, terminate a creator relationship where permitted by the applicable agreement, or take other reasonable action in response to violations.

15. Privacy

Our collection, use, storage, disclosure, and protection of personal information is described in our Privacy Policy.

By using the Services or submitting information to Sona, you acknowledge that your information will be handled as described in our Privacy Policy and in accordance with applicable law.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SONA DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

SONA DOES NOT GUARANTEE THAT THE WEBSITE OR SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE OR THAT INFORMATION AVAILABLE THROUGH THE SERVICES WILL ALWAYS BE ACCURATE, COMPLETE, OR RELIABLE.

SONA DOES NOT GUARANTEE THAT AN APPLICANT WILL BE SELECTED, THAT A CREATOR WILL RECEIVE FUTURE OPPORTUNITIES, THAT ANY PARTICULAR FEATURE WILL LAUNCH, OR THAT PARTICIPATION WITH SONA WILL RESULT IN AUDIENCE GROWTH, REVENUE, EARNINGS, OR OTHER PARTICULAR RESULTS.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded under applicable law.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SONA AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SONA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS (US $50) OR THE AMOUNT YOU PAID DIRECTLY TO SONA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

18. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Sona, its affiliates, and their respective members, officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising out of or relating to:

  • materials or content you submit;

  • your violation of these Terms or incorporated policies;

  • your infringement or violation of another person's rights; or

  • your misuse of the Services.

 

Sona reserves the right to assume control of the defense of any matter subject to indemnification, and you agree to reasonably cooperate with that defense.

19. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.

Informal Dispute Resolution

Before initiating arbitration or other formal proceedings, you and Sona agree to make a good-faith effort to resolve any dispute informally.

The party raising the dispute must provide the other party with written notice describing the nature of the dispute, relevant facts, and relief requested.

The parties will have 30 days after receipt of the notice to attempt to resolve the dispute informally. If the dispute is not resolved during that period, either party may proceed with arbitration as described below.

Binding Arbitration

Except for disputes that qualify for small claims court or other exceptions expressly provided in these Terms, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved through the informal dispute-resolution process will be resolved through binding individual arbitration rather than in court.

Arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the applicable AAA rules in effect at the time the arbitration is initiated, as modified by these Terms.

Unless the parties agree otherwise, arbitration may be conducted remotely by telephone, video conference, or based on written submissions where permitted by the applicable rules.

The arbitrator will have authority to award the same individual remedies that would otherwise be available in a court of competent jurisdiction, subject to these Terms and applicable law.

Small Claims Court

Notwithstanding the arbitration requirement above, either you or Sona may bring an eligible individual claim in small claims court, provided the claim remains in that court and proceeds only on an individual basis.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SONA AGREE THAT CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Unless both parties agree otherwise, the arbitrator may not consolidate the claims of more than one person or preside over any form of class, collective, consolidated, or representative proceeding.

Jury Trial Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SONA EACH WAIVE THE RIGHT TO A TRIAL BY JURY FOR DISPUTES SUBJECT TO THIS ARBITRATION AGREEMENT.

Arbitration Opt-Out

You may opt out of this arbitration agreement by providing Sona with written notice within 30 days after the date you first accept these Terms.

Your opt-out notice must clearly state that you wish to opt out of the arbitration agreement and include sufficient information for Sona to identify you and, if applicable, your account or application.

Opting out of arbitration will not affect the remaining provisions of these Terms or your ability to use the Services.

Exceptions

Nothing in this Section prevents either party from seeking temporary or preliminary injunctive or equitable relief from a court of competent jurisdiction when necessary to prevent immediate or irreparable harm, where permitted by applicable law.

Nothing in this Section limits any rights or remedies that cannot lawfully be waived or restricted.

20. Changes to These Terms

We may update these Terms from time to time, including as Sona develops and new products, features, creator programs, or services become available.

If we make material changes, we may provide notice through the website or Services, by email, or through another reasonable method where required by applicable law.

The revised Terms will identify their effective or "Last Updated" date.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law. Where applicable law requires additional consent, we will request it.

21. General Terms

Entire Agreement

These Terms, together with the policies and agreements expressly incorporated by reference, constitute the agreement between you and Sona regarding your use of the Services, except where separate terms or agreements expressly apply.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

No Waiver

Sona's failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

Assignment

You may not assign or transfer your rights or obligations under these Terms without Sona's prior written consent.

Sona may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or other business transaction, subject to applicable law.

Electronic Communications

You agree that notices and communications relating to the Services may be provided electronically, including through the website, Services, or by email, subject to applicable law.
